These Game Rules, incorporated by reference with (“the Terms” or “TOU”) and the Arbitration Agreement (see Section 16) form binding agreements between you (“You,” or “User,”) and ORCA Technologies LLC the owner and operator of www.getslate.io d/b/a Slate (“Slate,” the “Company,” “Us, or “We”) which provide these Game Rules and all of the terms and conditions governing Your access and use of www.getslate.io and any related applications (the “Site” or “Platform”) as well as Your creation of Your Slate user account (“User Account”), participation in games, promotions or contests (collectively or individually, “Games” or “Contests”) on the Site, and any transactions or dealings with Us in any way (collectively, the “Service”).

Games of Skill
Games or Contests offered by Slate are contests of skill. Winners are determined by the objective criteria described in the Game deadline, Game rules, scoring, and any other applicable documentation associated with the Game. Winners are determined by the individuals who use their skill and knowledge of relevant sports information and verify the result of the same. In the case of specific enumerated Games Contests, additional criteria may be used to determine a Winner, such as agreement or confirmation of other entrants regarding the outcome of the contest. Slate nor its Games not be used for any form of gambling. Slate prohibits use of the platform for any activity other than skill-based contests and thereby monitors for this prohibited activity.
Game Results
Game results and prize calculations are based on the final statistics and scoring results at the completion of the last game of each individual Contest, or, in the case of identified Games Contests, at the completion and following confirmation of results by entrants. Once Game results are reviewed and confirmed by Slate, prizes may be awarded subject to Slate’s Terms and Game Rules. The scoring results of a Game will not be changed regardless of any official statistics or scoring adjustments, except in Slate’s sole discretion.
Prize Payouts
At the conclusion of each Game, and following confirmation of results automatically or manually by Slate and by all or some entrants in the case of Game Contests, prizes will be awarded by the following business day, except in circumstances where technical failure, inability of the Company to verify your compliance with Slate’s Terms or Game Rules, or other reasons that prevent such timely payout. Prizes won are added to the winning participant’s account balance. At the conclusion of each Contest, prizes will be settled and disbursed to the participants’ accounts based on the final scores inputted by participants. In the event of a tie, participants will be recredited the respective contest entry amounts.
Payment and Withdrawal of Prizes
Winners are posted on the Platform. Before making any payment, Slate may require that an entrant complete and execute an affidavit of eligibility in which, among other things, the entrant is required to represent and warrant that the entrant is eligible to participate in a Game, is otherwise in compliance with this Agreement and the Terms or incorporated documents provided therein, and, potentially, is required to provide documentation or proof of eligibility and compliance. If Slate requests that an entrant completes and executes such an affidavit and the entrant fails to do so within seven (7) days, or Slate otherwise determines that the entrant does not meet the eligibility requirements or is not in compliance with Slate’s Terms, Slate reserves the right to terminate the entrant’s account and withhold or revoke the awarding of any prizes associated with such account. In such a situation, Slate may pay out any withheld or revoked prizes to the other entrants in the relevant contest in a manner consistent with the Rules of the Game.
Entrants may withdraw their cash prize awards by using the “Withdrawal” option on the Platform.
Entrants may be requested to complete an affidavit of eligibility and a liability/publicity release (unless prohibited by law) and/or appropriate tax forms and forms of identification including but not limited to a Driver's License, Proof of Residence, and/or any information relating to payment/deposit accounts as reasonably requested by Slate in order to complete the withdrawal of prizes. Failure to comply with this requirement may result in disqualification and forfeiture of any prizes. Disqualification or forfeiture of any prizes may also occur if it is determined any such entrant did not comply with Slate’s Terms in any manner.
Checks for withdrawal requests are processed within fourteen (14) business days, with the exception of any such requests coming from persons physically located in Iowa, which will be processed within five (5) business days, and are sent via U.S. Mail. Promotional deposits, credits, and other bonuses may not be withdrawn from a Slate account unless appropriate terms of the promotion are achieved first by the user.
All taxes associated with the receipt of any prize are the sole responsibility of the winner. In the event that the awarding of any prizes to winners of Games is challenged by any legal authority, Slate reserves the right in its sole discretion to determine whether or not to award such prizes.
Any withdrawal requests, after approved by Slate, will be credited back to the specified connected bank account, or paper check address. Slate will only release withdrawals to a different connected bank account other than that which was used to make deposit(s) after the aggregate amount of such deposit(s) has already been released back to the credit card(s) or payment method(s) used for the deposit(s).
Users may not create, enter, cancel, edit, or adjust contests while not in a legal state eligible on the platform. Users may not add or withdraw funds outside of the U.S. or when otherwise deemed ineligible on the platform. Users may however determine a winner and prize recipient outside of the U.S. Users will be able to see their contests in a view-only state while in an ineligible location and will be be restricted on a state-by-state business based on Slate’s eligible legal states.
As part of our compliance policies, users may not withdraw if they have not played a contest since depositing funds into their Account. Slate also maintains the right to restrict users to the below deposit and withdrawal limits:
Users and transactions are monitored automatically and limited to the below rules:
-Contests are limited to $10,000 per user stake
-Total Contest entry limit set at $40,000 per week and $100,000 per month
-Contest entries are limited to 50 per week and 150 per month
-Standard account withdrawals are limited to $50,000 per week and $150,000 per month
-Instant account withdrawals are limited to $100,000 per week and $300,000 per month
-Unique, standard account withdrawals are limited to 1 per week
-Unique, instant account withdrawals are limited to 3 per week
The usage limits described above are in place to prevent excessive usage and transfers of staked dollars between user accounts and associated bank accounts beyond what The Slate Team believes reasonable.
Slate Users are required to submit their Identity to first withdraw funds from the Platform. These details are required by Slate for you to be able to withdraw funds won on the platform. If an ID is not provided by the Slate User, they may reach out to Slate Support for a withdrawal of any funds that they deposited on the platform. Any winnings associated with Slate, or any other promotions provided by Slate or earned by the Slate User are not able to be withdrawn without a submission of an ID.
Slate may also run an additional Knowledge Based Authentication (“KBA”) or Know Your Customer (“KYC”) check using the Slate Users SSN to re-verify the Slate Users’ identity.
Slate will not maintain any information regarding the Slate Users SSN within Company servers or databases.
Refund Policy for Entry Fees
Contests will be scheduled to begin at a later time or date from the time it was created by an administrator in order to give participants an opportunity to join and deposit their entry fees to cover the predetermined prize pool. Participants are eligible for entry fee refunds from the date and time an entrant joins a Tournament until the date and time the Tournament officially begins as determined by the administrator. Once a Tournament begins, no refunds for entry fees will be issued, unless in the case of a confirmed tie or draw. Disputed contest outcomes will result in the entry fees returned to participants, less a 10% dispute fee.
Verification and Withdrawal
Slate will take appropriate steps to prevent unauthorized withdrawals from consumer accounts. Users are subject to an automated KBA or KYC verification process provided whenever a user attempts to withdraw funds. In the event of a dispute as to the identity of a customer, Slate can and does require its users to produce a copy of their driver’s license, credit cards, utility bills or passport for identity verification. If a customer cannot validate their identity and account, Slate will not release the funds from the account. Once per month, Slate. shall reconcile all liabilities owed to users and the sum of funds or credits in the Segregated Account and credits due to Slate from card processors as of the end date of the immediately preceding month.
Players must play a contest after depositing to be eligible to withdraw. All eligible withdrawals are restricted to contest winnings. Additionally, Slate may restrict withdrawals for up to 72 hours after a deposit at its discretion. Requests for withdrawal will be honored by the latter of five (5) business days for ACH or ten (10) business days for checks unless Slate believes in good faith that the player engaged in either fraudulent conduct or other conduct that would put Slate in violation of law. A request for withdrawal will be considered honored, contingent upon the user meeting other requirements and conditions as set forth within these Terms of Service, if it is processed by Slate but delayed by a payment processor, card issuer, or by the custodian of a financial account. Players can also permanently close their account at any time for any reason through the Slate App customer support.
